Terms of Service

Welcome to Calplanner. These Terms of Service ("Terms") govern your access to and use of Calplanner's calendar synchronization platform (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

IMPORTANT: These Terms contain dispute resolution provisions (Section 16) that require informal resolution attempts and limit class action participation.

Acceptance of Terms

By accessing or using Calplanner, you:

  • Confirm you are at least 13 years old (or 16 in the EU/EEA)
  • Agree to comply with these Terms and our Privacy Policy
  • Represent that you have the authority to bind yourself to these Terms
  • Acknowledge that these Terms constitute a binding legal agreement

If you do not agree to these Terms, you may not use the Service.

Description of Service

Calplanner is a multi-provider calendar synchronization platform that enables users to:

  • Connect multiple calendar accounts (Google Calendar, Microsoft Outlook, Zoom)
  • Synchronize calendar events bidirectionally across connected accounts
  • View all calendars in a unified interface
  • Create propagated event copies on linked calendars with configurable privacy settings
  • Receive real-time updates via webhook notifications and Server-Sent Events from calendar providers
  • Create and join groups to share availability and schedule events collaboratively

The Service is provided on a Software-as-a-Service (SaaS) basis and is subject to modifications, updates, and feature changes at our discretion.

Account Registration and Security

Account Creation

To use Calplanner, you must create an account by providing:

  • A valid email address
  • Your full name
  • A secure password (or use OAuth authentication via Google/Microsoft)

You are responsible for maintaining the accuracy of your account information.

Account Security

You agree to:

  • Maintain the confidentiality of your login credentials
  • Use a strong, unique password (or enable two-factor authentication if available)
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

We recommend enabling two-factor authentication when available for enhanced security.

Account Restrictions

You may not:

  • Share your account credentials with others
  • Create multiple accounts to circumvent service limitations
  • Use another person's account without authorization
  • Register accounts using automated means (bots, scripts)
  • Impersonate another person or entity

Calendar Account Connections

OAuth Authorization

When you connect a calendar provider (Google, Microsoft, Zoom), you grant Calplanner limited access to your calendar data via OAuth 2.0 authorization. You may revoke this access at any time through:

  • Your Calplanner account settings
  • The respective provider's account permissions page

Scope of Access

Calplanner requests the minimum permissions necessary to provide synchronization services:

  • Google Calendar: calendar.events.owned (read and write to owned calendars)
  • Microsoft Outlook: Read and write calendar events
  • Zoom: Read meeting information

Data Synchronization

By linking calendars, you authorize Calplanner to:

  • Read events from connected calendars
  • Create synchronized copies (propagated events) on linked calendars
  • Update or delete propagated events when source events change
  • Apply privacy settings (blocked or full visibility) to propagated events

IMPORTANT SYNCHRONIZATION LIMITATIONS:

You acknowledge and agree that:

  • Calendar synchronization is NOT instantaneous and NOT real-time. Synchronization delays can range from seconds to several hours depending on API rate limits, network conditions, provider availability, webhook delivery failures, system load, and other factors beyond our control.
  • Events may fail to synchronize entirely due to API errors, authentication issues, provider outages, data format incompatibilities, or other technical failures.
  • Events may be delayed, duplicated, modified, or deleted during the synchronization process due to conflicts, API limitations, or system errors.
  • Synchronization status displayed in the Service may not accurately reflect the actual state of your calendars on third-party providers.
  • Changes made directly to calendars on third-party providers may not be immediately reflected in Calplanner, and vice versa.
  • If a calendar account requires re-authentication (e.g., expired or revoked refresh token), synchronization for that account will stop until you reconnect it.

User Responsibilities and Assumption of Risk

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

1. No Substitute for Primary Calendar: Calplanner is a supplementary synchronization tool only and is NOT intended to be your sole or primary calendar system. You must maintain independent access to your original calendar providers and verify all critical events directly with those providers.

2. Verification Obligation: You are solely responsible for independently verifying all calendar events, meeting times, locations, and details directly with your original calendar providers before relying on them. You should never rely solely on Calplanner to display accurate or timely event information.

3. Critical Events: For time-sensitive, mission-critical, or important events (including but not limited to job interviews, medical appointments, legal proceedings, business meetings, travel arrangements, and deadlines), you must verify event details directly with the original calendar provider and set independent reminders outside of Calplanner.

4. Assumption of Risk: You assume all risk associated with using the Service, including but not limited to the risk of:

  • Missing meetings, appointments, or events due to synchronization delays or failures
  • Scheduling conflicts arising from delayed or failed synchronization
  • Events being incorrectly displayed, modified, or deleted
  • Data loss or corruption during synchronization
  • Inaccurate event times, dates, locations, or details
  • Professional, personal, financial, or reputational consequences resulting from any of the above

5. No Reliance: You agree that you will not rely on Calplanner as your sole source of calendar information for any purpose where accuracy and timeliness are important.

Acceptable Use Policy

Permitted Use

You may use Calplanner for lawful purposes to manage and synchronize your personal or business calendars.

Prohibited Conduct

You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Service to transmit malware, spam, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools (bots, scrapers) to access the Service without permission
  • Interfere with or disrupt the Service's operation or infrastructure
  • Remove, obscure, or alter any proprietary notices (copyright, trademark)
  • Use the Service for competitive analysis or to build a competing product
  • Resell, sublicense, or redistribute the Service without authorization
  • Exceed reasonable API usage limits or abuse synchronization features
  • Use group invite features to spam, harass, or send unsolicited invitations
  • Attempt to brute-force or circumvent group join rate limits

Content Standards

When creating calendar events through Calplanner, you agree not to include:

  • Illegal, defamatory, harassing, or discriminatory content
  • Content that infringes intellectual property rights
  • Sensitive personal information of others without consent
  • Misleading or fraudulent information

Groups and Shared Calendars

Group Creation and Membership

Calplanner allows users to create groups for collaborative scheduling. By creating or joining a group, you agree that:

  • Groups have two roles: admin and member. Admins can manage group settings, invite members, remove members, and delete the group. Members can participate, create group events, and leave the group.
  • You are responsible for configuring your own calendar privacy settings within each group (see Section 5A.3).
  • You may leave a group at any time. If you are the only admin, you may need to transfer admin rights or delete the group.

Data Shared Within Groups

When you participate in a group, the following data is shared with other group members:

  • Your profile information: Name, email address, avatar, role, assigned color, and join date
  • Your calendar events (subject to your privacy settings): Start/end times, timezone, all-day status, and either full event details (title, description, location) or anonymized "Busy" blocks
  • Group metadata: Group name, member count, and creation date
  • Group events: Events created within the group include all members as attendees

Group Privacy Settings

You control what calendar data is visible to other group members via per-calendar privacy settings:

  • Full visibility: Other members can see event titles, descriptions, and locations
  • Busy only: Other members see only that you are busy during those times; no event details are shown

You are solely responsible for selecting appropriate privacy settings. Calplanner is not liable for any disclosure of calendar data that results from your privacy settings choices.

Group Invites

Groups can be joined via:

  • Shareable invite links: Generated by admins; anyone with the link may request to join
  • Email invites: Admins may enter an email address to send an invitation. The recipient must have access to that email address to accept the invite

Invite links may expire or be revoked by admins at any time. Rate limits may apply to group join attempts to prevent abuse.

Group Events

Group events are created on the organizer's connected calendar and include group members as attendees. You acknowledge that:

  • Creating a group event may reveal your availability and event details to members based on your privacy settings
  • You should only join groups with people you trust to see your configured level of calendar information

Intellectual Property Rights

Calplanner's Intellectual Property

All content, features, and functionality of the Service, including but not limited to:

  • Software code, algorithms, and architecture
  • User interface designs, graphics, and logos
  • Documentation, tutorials, and help materials
  • Trademarks, service marks, and trade names

are owned by the Calplanner development team and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.

Note: Upon incorporation, all intellectual property rights will be formally assigned to the incorporated entity.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. This license does not include the right to:

  • Copy, modify, distribute, sell, or lease any part of the Service
  • Use the Service for commercial purposes outside your own organization
  • Create derivative works based on the Service
  • Access the Service to build a competitive product or service

User Content

You retain ownership of all calendar events and data you create or upload to Calplanner ("User Content"). By using the Service, you grant us a limited, worldwide, non-exclusive license to:

  • Host, store, and transmit your User Content
  • Process and synchronize your User Content across connected calendar providers
  • Display your User Content to you within the Service
  • Share your calendar data with other group members in accordance with your privacy settings

This license terminates when you delete your User Content or account, except for data retained in backup systems for up to 30 days.

Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Service without compensation or attribution.

Subscriptions and Billing

Free Tier

Calplanner offers a Free tier at no charge, which includes:

  • Up to 2 calendar connections
  • Google and Microsoft calendar sync
  • Bidirectional event synchronization
  • Groups and shared calendars
  • Cross-provider sync

No credit card is required for the Free tier.

Pro Subscription

We offer a Pro subscription plan with additional features:

  • Up to 10 calendar connections
  • Priority support
  • Early access to new features
  • Everything included in the Free tier

Pricing: $10 USD per month, or $96 USD per year (20% savings). Prices are subject to change with 30 days' advance notice.

Billing and Payments

  • Payment Processor: Payments are processed through Polar, which may use Stripe as an underlying payment processor
  • Billing Cycle: You will be charged at the beginning of each billing period (monthly or annually, depending on your selected plan)
  • Payment Information: We do not store your full payment card details on our servers. Payment information is handled securely by Polar/Stripe
  • Taxes: All fees are exclusive of applicable taxes, which you are responsible for paying

Subscription Management

  • Cancellation: You may cancel your Pro subscription at any time through your account settings or the Polar customer portal. Cancellation takes effect at the end of your current billing period. You will continue to have Pro access until the period ends
  • Downgrades: Upon cancellation or downgrade to Free, any calendar connections exceeding the Free tier limit (2) will be deactivated (not deleted). You may reactivate them by upgrading to Pro again or disconnecting other calendars
  • Past Due: If a payment fails, your subscription status becomes past_due. We will notify you and provide an opportunity to update your payment method. Pro features may be restricted if payment is not resolved within a reasonable grace period
  • No Refunds: All fees are non-refundable except where required by law. If you cancel, you will not receive a refund for the remainder of your billing period

Superusers

Users designated as superusers (isSuperUser: true) receive lifetime Pro access without billing. This status is granted at our sole discretion.

Changes to Pricing

We may modify subscription fees or introduce new plans at any time. Material price increases will be communicated at least 30 days in advance. Continued use of the Service after a price change constitutes acceptance of the new fees.

Data Privacy and Security

Privacy Policy

Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy carefully.

Data Security

We implement industry-standard security measures to protect your data, including:

  • TLS encryption for data in transit
  • AES-256-GCM encryption for OAuth tokens at rest
  • Access controls and authentication systems
  • Regular security audits and monitoring

However, no internet transmission or electronic storage is 100% secure. You use the Service at your own risk.

Data Backup and Recovery

While we maintain regular backups, we do not guarantee the ability to recover data in all circumstances. You are responsible for maintaining your own backup copies of important calendar events.

Service Availability and Modifications

Service Uptime

We strive to maintain high service availability but do not guarantee uninterrupted access. The Service may be unavailable due to:

  • Scheduled maintenance (announced in advance when possible)
  • Emergency repairs or updates
  • Third-party calendar provider outages
  • Force majeure events (natural disasters, internet failures, etc.)

Modifications to the Service

We reserve the right to:

  • Modify, suspend, or discontinue any feature of the Service
  • Change synchronization intervals or API rate limits
  • Update system requirements or supported platforms
  • Add, remove, or modify integrations with calendar providers
  • Adjust Free tier limits or Pro features

We will provide reasonable notice of material changes when feasible.

Third-Party Services and Integrations

Calendar Providers

Calplanner integrates with third-party calendar services (Google, Microsoft, Zoom). Your use of these services is governed by their respective terms of service and privacy policies. We are not responsible for:

  • Changes to third-party APIs or service disruptions
  • Data loss or corruption caused by third-party services
  • Privacy practices of third-party providers

Billing Providers

Subscription management and payment processing are handled by Polar (and Stripe). Your use of these services is subject to their respective terms:

No Endorsement

Integration with third-party services does not constitute endorsement. We are not liable for the quality, accuracy, or reliability of third-party services.

Termination

Termination by You

You may terminate your account at any time. We provide a secure account deletion feature accessible through your account settings that ensures you understand the consequences before proceeding.

#### 11.1.1 Account Deletion Process

When you choose to delete your account, you will be guided through a three-step verification process:

Step 1: Warning and Information

  • You will be shown a comprehensive list of all data that will be permanently deleted, including:
  • All connected calendar accounts and their OAuth access tokens
  • All synced calendar events and event data
  • Your Calplanner account, profile, and preferences
  • All group memberships and associated data
  • You must acknowledge that you understand this action cannot be undone

Step 2: Identity Verification

  • You must verify your identity by entering your account password
  • This prevents unauthorized account deletion by malicious actors or accidental deletion

Step 3: Final Confirmation

  • You must type the confirmation text "DELETE" to confirm your decision
  • The system will display the exact count of calendar accounts and events to be deleted
  • This final step ensures you have made a deliberate, informed decision

Immediate Effects:

  • All OAuth access tokens for connected calendar providers are immediately revoked
  • You will be logged out and redirected to the landing page
  • Your account access is immediately terminated

Data Deletion Timeline:

  • All personal data, calendar connections, and synced events are permanently deleted within 30 days
  • Backup copies in our systems are purged within this period
  • This action is irreversible and cannot be undone

Alternative Method:

  • You may also request account deletion by emailing support@calplanner.com with the subject line "Account Deletion Request"
  • We will verify your identity and process your request within 5 business days

#### 11.1.2 Cleaning Up Propagated Events Before Deletion

Before deleting your account, you may choose to remove propagated (orphaned) events that Calplanner created on your connected calendars. This can be done through the "Clean up" feature in your calendar settings. Note that removing orphaned events does not disconnect your calendars or stop future synchronization — it only deletes existing propagated copies.

Termination by Us

We may suspend or terminate your account immediately without notice if you:

  • Violate these Terms or our Acceptable Use Policy
  • Engage in fraudulent or illegal activity
  • Pose a security risk to the Service or other users

We may also terminate inactive accounts (no login for 12+ months) with 30 days' email notice.

Effects of Termination

Upon termination (whether initiated by you or by us):

Immediate Effects:

  • Your access to the Service is immediately revoked and your session is terminated
  • All OAuth access tokens for connected calendar providers are immediately revoked
  • You will no longer be able to log in or access your account
  • All calendar synchronization stops immediately

Data Deletion:

  • All personal information (name, email, profile data) is permanently deleted within 30 days
  • All calendar connection data and OAuth tokens are permanently deleted within 30 days
  • All synced event data stored in Calplanner's database is permanently deleted within 30 days
  • Billing and subscription data may be retained for a longer period as required for tax, accounting, or legal obligations
  • Backup copies are purged from our systems within 30 days
  • Error logs and diagnostic data containing your information are retained for up to 90 days for troubleshooting, then permanently deleted

Important Notes:

  • Propagated Events: Events that were created on your destination calendars by Calplanner may remain on those calendars after deletion. You are responsible for manually deleting these events from each calendar provider if desired. We recommend using the "Clean up" feature before account deletion
  • Third-Party Data: Data stored directly with third-party calendar providers (Google, Microsoft, Zoom) is not deleted by Calplanner. You must manage that data through each provider's platform
  • No Refunds: No refunds are provided for prepaid subscription fees (except as required by law)
  • Irreversible: Account deletion is permanent and cannot be undone. You will need to create a new account if you wish to use the Service again

Disclaimers and Warranties

AS-IS Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • Merchantability: Fitness for a particular purpose
  • Non-Infringement: That the Service does not violate third-party rights
  • Accuracy: That calendar data will be synchronized without errors or delays
  • Reliability: That the Service will be uninterrupted or error-free
  • Security: That the Service is completely secure from unauthorized access

No Guarantee of Accuracy or Timeliness

CRITICAL DISCLAIMER: While we strive for accurate calendar synchronization, WE DO NOT AND CANNOT GUARANTEE:

  • Real-time or timely synchronization — Delays of minutes, hours, or longer may occur without warning
  • Accuracy of event data — Events may display incorrect times, dates, locations, titles, descriptions, attendees, or other details
  • Completeness of synchronization — Some events may fail to sync entirely or may be partially synchronized
  • Prevention of data loss — Events may be lost, deleted, corrupted, or modified during synchronization
  • Reliability of notifications — You may not receive timely or any notifications about upcoming events
  • Consistency across platforms — Event data may differ between Calplanner and your calendar providers
  • Proper functioning of recurring events — Recurring event rules may not synchronize correctly
  • Accurate timezone handling — Events may display in incorrect timezones

YOU ARE SOLELY RESPONSIBLE for independently verifying the accuracy and completeness of all synchronized calendar events directly with your original calendar providers.

Third-Party Dependencies

The Service relies on third-party calendar provider APIs. We are not liable for:

  • API changes, deprecations, or rate limit modifications by providers
  • Service outages or performance issues caused by providers
  • Data loss resulting from provider API failures
  • Webhook delivery failures or delays by providers
  • Authentication or authorization failures with providers
  • Changes to provider terms of service that affect our integration

Specific Disclaimers Regarding Missed Events and Scheduling

WE EXPRESSLY DISCLAIM ALL LIABILITY FOR:

  • Missed Meetings or Appointments: We are NOT responsible if you miss any meeting, appointment, event, deadline, or obligation due to synchronization delays, failures, inaccuracies, or any other issue with the Service. This includes job interviews, medical appointments, legal proceedings, business meetings, personal events, travel arrangements, and any other scheduled activities.
  • Scheduling Conflicts: We are NOT responsible for double-bookings, scheduling conflicts, or overlapping events that result from synchronization delays, failures, or inaccuracies.
  • Deleted or Modified Events: We are NOT responsible for events that are accidentally or erroneously deleted, modified, moved, or altered during synchronization, whether by our system, third-party APIs, or any other cause.
  • Late Arrivals or No-Shows: We are NOT responsible for any consequences arising from your late arrival or failure to attend events due to inaccurate event times, missing notifications, or synchronization issues.
  • Business or Professional Consequences: We are NOT responsible for any professional, business, employment, or career consequences resulting from missed meetings, scheduling errors, or synchronization failures, including but not limited to lost business opportunities, damaged client relationships, disciplinary actions, or termination of employment.
  • Personal Consequences: We are NOT responsible for any personal, social, family, or relationship consequences resulting from missed events or scheduling errors.
  • Financial Consequences: We are NOT responsible for any financial losses, including but not limited to lost wages, lost contracts, travel expenses, cancellation fees, penalties, or any other monetary damages resulting from synchronization issues.

No Warranty of Fitness for Critical Applications

THE SERVICE IS NOT DESIGNED, INTENDED, OR WARRANTED FOR USE IN:

  • Mission-critical scheduling applications
  • Healthcare or medical appointment management where missed appointments could affect health outcomes
  • Legal or court scheduling where missed appearances could result in legal consequences
  • Financial trading or time-sensitive business transactions
  • Emergency response or safety-critical applications
  • Any application where synchronization delays or failures could result in significant harm

If you choose to use the Service for such applications, you do so entirely at your own risk.

Limitation of Liability

Damages Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALPLANNER'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL BE LIMITED AS FOLLOWS:

  • Free tier users: Liability shall not exceed $50 USD
  • Pro subscribers: Liability shall not exceed the total amount you paid to Calplanner in the 12 months preceding the claim, with a minimum cap of $100 USD

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise).

Exclusion of Consequential Damages

IN NO EVENT SHALL CALPLANNER BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Lost profits, revenue, data, or business opportunities
  • Loss of goodwill or reputation
  • Costs of procurement of substitute services
  • Damages resulting from calendar synchronization errors, data loss, or service outages
  • Missed meetings, appointments, events, or deadlines of any kind
  • Scheduling conflicts, double-bookings, or calendar errors
  • Late arrivals, no-shows, or failure to attend events
  • Professional consequences including lost job opportunities, disciplinary actions, termination, damaged business relationships, or lost contracts
  • Personal consequences including damaged relationships, missed personal events, or social consequences
  • Financial losses including lost wages, travel expenses, cancellation fees, penalties, fines, or any monetary damages
  • Legal consequences including missed court dates, filing deadlines, or legal proceedings
  • Healthcare consequences including missed medical appointments or health-related impacts
  • Educational consequences including missed classes, exams, or academic deadlines
  • Any harm resulting from reliance on the Service for calendar management or event tracking

This exclusion applies regardless of the cause, including but not limited to synchronization delays, system failures, API errors, data corruption, accidental deletion, security breaches, or any other technical issue, even if we were advised of the possibility of such damages.

Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including:

  • Acts of God (earthquakes, floods, fires)
  • War, terrorism, or civil unrest
  • Internet or telecommunications failures
  • Government actions or regulatory changes
  • Third-party service provider outages

Indemnification

You agree to indemnify and hold harmless Calplanner and its operators from claims arising from:

  • Your violation of these Terms or any applicable law
  • Your violation of third-party rights (including intellectual property or privacy rights)
  • Unauthorized access to your account due to your failure to maintain credential security

Note: We do not require indemnification for ordinary use of the Service or for consequences of synchronization issues, provided you use the Service in accordance with these Terms.

Acknowledgment of Risk

BY USING THE SERVICE, YOU ACKNOWLEDGE AND ACCEPT THAT:

  • Synchronization delays, failures, errors, or inaccuracies may occur
  • You may miss meetings, appointments, events, or deadlines due to Service issues
  • Scheduling conflicts, double-bookings, or calendar errors may occur
  • Calendar data may be deleted, modified, lost, or corrupted
  • Service outages, downtime, or unavailability may happen
  • Third-party API failures, changes, or limitations may affect functionality
  • You should not rely solely on the Service for important calendar management
  • You assume all risk of professional, personal, financial, or legal consequences from using the Service

You agree to use the Service at your own risk and maintain independent verification of important events.

Dispute Resolution and Governing Law

Informal Resolution

Before filing any formal claim, please contact us at admin@calplanner.com to attempt to resolve the dispute informally. Include:

  • Your name and contact information
  • A description of the dispute
  • The relief you seek

We will work with you in good faith to resolve the matter.

Governing Law

These Terms are governed by the laws of Sri Lanka, without regard to conflict of law principles.

Note: As we are currently pre-incorporation, the governing law jurisdiction may change once we formally establish our legal entity. We will update these Terms and provide notice if the governing law changes.

Dispute Resolution

For disputes that cannot be resolved informally:

  • Small Claims Court: You may bring claims in small claims court in your jurisdiction if they qualify
  • General Jurisdiction: For other disputes, you consent to the jurisdiction of courts in Sri Lanka
  • No Class Actions: You agree that disputes will be resolved on an individual basis only, not as part of any class action or representative proceeding

This is a simplified dispute resolution process appropriate for our current stage. Upon incorporation and as the service grows, more formal dispute resolution procedures may be implemented.

Privacy Rights and Compliance

Calplanner respects the privacy rights of users globally. We comply with applicable privacy laws and regulations including:

Miscellaneous Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Calplanner regarding the Service and supersede all prior agreements and understandings.

Amendments

We may update these Terms from time to time. Material changes will be communicated by:

  • Posting a notice in the application 14 days before the effective date
  • Sending an email to your registered email address
  • Updating the "Last Updated" date at the top of this document

Continued use of the Service after changes take effect constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and may cancel your account.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor entity without restriction.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly stated.

Relationship

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Calplanner.

Survival

Provisions that by their nature should survive termination (including Sections 6, 12, 13, 14, 15, 16) will remain in effect after termination of these Terms.

Language

These Terms are prepared in English. Any translation is provided for convenience only. In the event of a conflict, the English version shall control.
